Starting an LLC

  • figured i'd hit up the nynj brain trust.  any ever started one before?  i've created a sole propietorship before, and that was as easy as filling out some forms and paying a small fee.  LLC the same deal or do you recommend using a lawyer or something like legal zoom?

    I am in the process of also considering turning my sole prop business into an LLC but in california its like $800+ a year, so much more expensive than any other state.

    look into starting an LLC in delaware

    I was going to form my company's llc in delaware but my accountant said that california is really strict about doing business so it wouldnt make any sense for me to form it in any other state, i would still need to be incorporated in california.  Its different state to state so look into it.

  • LLCs tend to get audited quite a bit more than other forms of incorporation

  • Ry, I just talked about some of these things recently with our tax guy & his advice to me was Stick with a DBA or something small until there's money coming in. he explained that for tax purposes its just not that suitable if your not bring in some decent funds. It gets a lil complicated once you have an LLC & def more fees involved. My tax guy was completely against it since I don't make much. Its better to just be considered a freelance employee of yourself till the money starts coming in.


    Just thought I'd mention it since it was just discussed a few weeks ago.

  • strange too- i just talked to someone at legalzoom who said that in NY, an llc is required to run ads in local newspapers/trade journals for 2 consecutive weeks after opening.  ???
    ...i'm on my way into the city now as a matter of fact...

  • I agree on the waiting until you are making money thing but try to take a hard look at the probability of some whiner client going after you legally - if you think it is even a remote possibility - and you have assets or a regular paycheck to go after - go with the LLC or S-Corp to provide personal shelter from any possible business shitstorm.  Good lawyers are paid because they are smart and/or have valuable connections - neither of which you need to file business creation paperwork imho - so I wouldn't pay anything extra for a good lawyer for this purpose.
